You’re not just a customer, you’re a member-owner. You have a vote on any proposed changes to our Code of Regulations. The Midwest Electric Board of Directors is asking for your support to approve the following proposed code updates. You’ll receive a ballot in mid-May for this spring’s director elections along with the proposed code changes. You can vote by mail or online.
The changes are being proposed to save time during the annual meeting, save the co-op mailing and election costs if no members choose to run for a board seat, legitimize virtual attendance at meetings, and give flexibility for potential special meetings.
ARTICLE III, SECTION 7. Order of Business
Adding the following:

Members shall be provided in writing prior to the meeting the notice of the meeting and proof of the due publication or mailing thereof, or the waiver of notice of the meeting, as the case may be, and the unapproved minutes of previous meetings of the members and taking of necessary action thereon.

ARTICLE IV SECTION 2. (a) Election Procedure
Adding the following:
If only one individual is nominated to run for election for a Director position scheduled for election by members at the Member Meeting, then the individual presiding at the Member Meeting may announce that the nominated individual is elected by acclamation and no vote is required.
SECTION 3. Qualifications (b)
Changing the number of years before a former employee can be on the board from three to five years.
SECTION 8. Absences of Directors
Adding the following, for regular board meetings: Attending the meeting by virtual or telephonic means shall not be considered an absence if in accordance with the Policy Manual.
ARTICLE V SECTION 2. Special Meetings
Changing verbiage:
A special meeting may be held anywhere in the service territory.
SECTION 5. Executive Committee
Adding the Vice President as a member of the Board Executive Committee.
